Our Property Due Diligence Services
GRM LAW runs property due diligence for non-institutional buyers under one contract covering technical and legal evaluation and advisory. Eight evaluation lines are worked through in sequence: technical, financial, valuation, services contracts, contracts, historic, ESG and other. The engagement closes with legal advice on the price, conditions and documents of the acquisition. Our property due diligence services include:
01. Technical Evaluation
We evaluate the building and its services line by line so the physical condition of the asset is known before the buyer commits to the purchase, including:
- Hydraulic, electrical & mechanical services: pumps, pipes, bathrooms & surface drainage; lighting, air conditioning, main switchboard & security; lifts, automatic doors & building maintenance units
- Envelope, health & safety and fire: watertightness, solar load & seals; access & slip and fall; passive fire door ratings, containment zones & exit signage; active fire extinguishers, hoses & sprinklers
- As-built plans, boundary survey, geotechnical survey & carpark marking
02. Financial & Valuation Evaluation
We test the income, the cost base and the value of the asset against the price being paid, covering:
- Tenancy schedule & financial model review
- Redevelopment feasibility for the site
- Opex & capex budgets, a 10 year capex forecast & valuation management
03. Contracts & Services Contracts
We review every agreement that travels with the asset and the agreement that transfers it, including:
- Leases, side deeds, agreements for lease & letters of attornment
- The agreement for sale & purchase, from MoU, heads of agreement & EoI through to the debt facility
- Services contracts for security, landscaping & cleaning
04. Historic, ESG & Other Evaluation
We complete the record with the history, environmental position and planning standing of the property, covering:
- Refurbishment history of the building
- NABERS / Green Star design reporting including base power, and soil & contamination surveys

Property Due Diligence Essentials
Eight Evaluation Lines
A due diligence contract with GRM LAW runs eight evaluation lines: technical, financial, valuation, services contracts, contracts, historic, ESG and other. Each line is scoped at the start of the engagement and reported at the end, so the buyer holds one record of the asset.
Findings Feed the Contract
Technical and financial findings feed the sale and purchase agreement. A due diligence condition, a price adjustment, a vendor rectification or an exit are the contract outcomes the evaluation supports, and the legal advice states which one applies.
Buying Through a Fund, Super Fund or SMSF
Where the buyer is a wholesale fund, a superannuation fund or an SMSF, the acquisition passes through a trustee or an investment committee. GRM LAW’s funds practice drafts investment policies and committee charters for wholesale funds, and the due diligence record is prepared to be read alongside them.
Capex, ESG & the Ten Year View
The valuation line includes opex and capex budgets and a 10 year capex forecast, and the ESG line includes NABERS / Green Star design reporting and a soil and contamination survey. With the refurbishment history and the redevelopment feasibility, they show what the asset will cost to hold and what an upgrade on redevelopment would involve.
